1. Agreement to Terms

By installing or using Slate Builder X ("the Software"), licensed by Slate eLearning Inc. ("Slate", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to install or use the Software.

These Terms apply only to Slate Builder X, the offline desktop version of Slate Builder. They do not cover the cloud-hosted Slate platform at slatebuilder.io, which is governed by the separate Slate Terms of Service.

2. Description of the Software

Slate Builder X is a desktop application for authoring eLearning courses. It runs entirely on your computer with no cloud features. The Software ships as a signed installer for macOS (DMG) and Windows (MSI). The Software includes:

  • A full visual course builder with the same content block types as cloud Slate (text, media, interactive elements, structural blocks, custom code blocks)
  • Import support for LESSON.md bundles, which are plain markdown
  • Export to SCORM 1.2, SCORM 2004, xAPI, cmi5, HTML, and PDF

The following features of cloud Slate are not included in Slate Builder X: AI-powered course generation, AI translation, AI voice narration, AI image generation, the Review tool, public preview links, Share & Track, Slate MCP, the Slate for Canva integration, and Dynamic SCORM.

3. Licence Grant

Subject to your payment of the applicable fees and your compliance with these Terms, Slate grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software in accordance with the SKU you purchased.

Standard SKU (single seat)

The Standard SKU is a per-seat licence that permits one person to install and use the Software. The licence is validated against our licence service the first time you activate the Software. A signed activation token is then cached locally so the Software does not phone home repeatedly. Licence keys must not be shared or redistributed.

Site Licence

Site licences for multiple seats within a single organization are available and are priced on request. The scope (number of seats, eligible departments, geographic restrictions if any) is set out in the site licence order or agreement that accompanies your purchase.

Air-gapped SKU

The Air-gapped SKU is intended for environments without internet access. Activation is performed via a signed certificate file we issue to you for a specified number of machines. The certificate must not be copied or transferred to additional machines beyond the agreed count without our written approval. The Air-gapped SKU is priced on request and is subject to the terms of the order or agreement that accompanies your purchase.

4. One-time Purchase and Optional Maintenance

One-time Purchase

A single Standard seat is sold as a one-time purchase at a list price of $1,499 USD (or $1,999 CAD) at the time of this draft. Your purchase entitles you to use the version of the Software available at the time of purchase indefinitely, subject to these Terms.

Optional Maintenance

You may optionally subscribe to an annual maintenance plan at $299 USD per year (or $399 CAD per year) at the time of this draft. While maintenance is active, you are entitled to point releases, minor versions, and email support. If you do not renew maintenance, the last version released to you during the maintenance period continues to work indefinitely, but you are no longer eligible for new releases or support until maintenance is renewed. Site licence and air-gapped maintenance pricing are quoted separately.

Billing

One-time purchases and maintenance subscriptions are processed through a third-party payment provider. Prices listed above are draft figures and may be revised before general availability. The pricing in effect at the time of your order will apply to that order.

5. Restrictions

You agree that you will not, and will not permit anyone else to:

  • Redistribute, sell, sublicense, rent, lease, or lend the Software, the installer, or any licence key or activation certificate issued for the Software
  • Use a single Standard seat licence to enable use of the Software by more than one person, or on more machines than the licence permits
  • Use the Software to provide a hosted authoring service or other commercial offering to third parties
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law
  • Remove, disable, or circumvent any licence check, activation mechanism, copyright notice, or other protective measure in the Software
  • Use the Software in violation of any applicable law or regulation

6. Your Content

Ownership

You retain all rights to the courses, lessons, media, exports, and other content you author, import, or store using the Software. Slate claims no ownership of, and no licence to, your content.

Where your content lives

Because Slate Builder X runs entirely on your machine, Slate never receives your content. Your .slate project files, imported bundles, media, and exports are stored only where you choose to save them. You are solely responsible for backing up and protecting your content.

Your responsibility

You represent and warrant that you have all rights necessary to the content you create, import, or distribute with the Software, including the rights to any third-party fonts, images, audio, video, or other media you include in your courses or exports.

7. Third-party AI Tools

The Software does not integrate with any AI service. LESSON.md is a plain markdown bundle format. If you use an AI tool to draft markdown or other content, that activity takes place entirely outside Slate Builder X, in a tool you have separately chosen, and is governed by that tool's own terms and privacy policy. Slate is not responsible for content produced by third-party AI tools that you import into the Software.

8. Updates and Support

The Software does not include an auto-update mechanism. New versions are made available for manual download from slatebuilder.io. While you have an active maintenance plan, point releases and minor versions are made available to you at no additional cost, and email support is included. We are not obligated to ship updates or to provide support outside an active maintenance window.

Air-gapped customers receive updates and support via the channel set out in their order or agreement, which may include offline delivery of installers and email-based support without remote diagnostics.

9. Intellectual Property

The Software, including its design, code, branding, and documentation, is owned by Slate eLearning Inc. and is protected by copyright, trademark, and other intellectual property laws. Except for the limited licence granted in Section 3, no rights in or to the Software are transferred to you.

10. Export Formats and LMS Compatibility

The Software exports courses in multiple formats, including SCORM 1.2, SCORM 2004, xAPI, cmi5, HTML, and PDF. While these formats are widely supported, we cannot guarantee compatibility with every Learning Management System. It is your responsibility to verify compatibility with your specific LMS before relying on the Software for production delivery.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT IT WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, OPERATING SYSTEM, OR LMS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SOFTWARE
  • ANY CONTENT CREATED OR EXPORTED USING THE SOFTWARE
  • ANY ERRORS OR OMISSIONS IN THE SOFTWARE
  • LOSS OR CORRUPTION OF FILES STORED ON YOUR MACHINE

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE LICENCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Slate and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Software, your content, or your violation of these Terms.

14. Termination

These Terms remain in effect for as long as you use the Software. We may terminate or suspend your licence immediately, without prior notice or refund, if you materially breach these Terms (for example, by redistributing the Software or removing licence checks). For the Air-gapped SKU, the activation certificate may be revoked on material breach.

Upon termination, you must stop using the Software, uninstall it from your machines, and destroy any copies of the installer, licence keys, or activation certificates. Termination does not entitle you to a refund of any fees previously paid.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

16. Changes to These Terms

Because Slate Builder X is in development, these Terms are a draft and may change as we finalize the product. We will update the "Last updated" date above whenever we make changes, and we will publish a final, dated set of terms before commercial release. Material changes to terms that apply to an existing purchase will be communicated by email to the address associated with the order.
