Terms of Service

1. Agreement to Terms

By accessing or using Slate ("the Service"), operated by Slate ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service.

2. Description of Service

Slate is a web-based eLearning authoring platform that enables you to create, edit, and distribute interactive online courses. The Service includes:

  • A visual course builder with multiple content block types including text, images, video, audio, notes, knowledge checks, accordions, tabs, layouts, tables, cards, flip cards, carousels, code blocks, iframes, buttons, dividers, and custom HTML/CSS/JS
  • AI-powered course generation, content transformation, translation, and image generation
  • Export in SCORM 1.2, SCORM 2004, xAPI, cmi5, and standalone web formats
  • Shareable preview links and tracked sharing with viewer analytics
  • Peer review sessions for structured course feedback
  • Integrations with Canva (presentation-to-course conversion) and MCP-compatible AI assistants
  • AI voice narration via third-party text-to-speech providers

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Free Tier

Slate offers a free tier that allows you to create and edit courses with limited features. The free tier does not require a credit card. You may upgrade to a paid subscription at any time to access additional features and increased limits.

Pricing

The Service is offered on a subscription basis across two paid tiers:

  • Standard: $29 USD/month or $319 USD/year ($39 CAD/month or $429 CAD/year)
  • Pro: $69 USD/month or $690 USD/year ($95 CAD/month or $950 CAD/year)

Certain features consume AI credits, which are included with each plan. Additional credit packs may be purchased separately. Current pricing and feature availability for each tier is listed on our pricing page.

Billing

All payments are processed securely through Stripe. Subscriptions are billed monthly or annually in advance based on your chosen plan. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

No Refunds

All subscription fees are non-refundable. You may cancel your subscription at any time, but you will not receive a refund for any unused portion of your subscription period. Your access will continue until the end of your current billing period.

5. Your Content

Ownership

You retain all rights to the content you create using the Service. We do not claim ownership of your courses, text, images, or other materials you upload or create.

License to Us

By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We will not use your content for any other purpose without your consent.

Your Responsibility

You are solely responsible for the content you create and share using the Service. You represent and warrant that:

  • You have all necessary rights to the content you upload or create
  • Your content does not infringe any third-party intellectual property rights
  • Your content does not violate any applicable laws or regulations
  • Your content does not contain illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable material

Media and File Uploads

The Service allows you to upload images, audio files, video files, and documents (such as PDFs) for use in your courses. You represent and warrant that you have all necessary rights and licenses to upload and use these files. Uploaded media is stored in your account and used solely for the purpose of providing the Service.

Storage and Upload Limits

Each subscription tier includes a storage allowance for uploaded media files:

Images are automatically resized to a maximum resolution of 1080p and lightly compressed on upload to optimize storage usage without impacting visual quality.

Storage usage is calculated from uploaded media files, including images, audio, video, documents, and fonts. The following do not count toward your storage limit: course text and content, SCORM exports (which are generated on-demand), embedded media from external providers (such as YouTube or Vimeo), and preview or share links.

When you reach your storage limit, new uploads will be blocked until you free space by deleting unused media or upgrade to a higher tier. All existing content remains fully accessible and exportable regardless of storage usage.

We may adjust storage limits with at least 30 days' notice. Changes will be communicated via email and announced on our blog.

Custom Fonts

You may upload custom font files for use in your courses. You are solely responsible for ensuring you hold the appropriate licenses for any fonts you upload, including the right to embed fonts in distributed course exports. Custom fonts are included in exported course packages and will be accessible to anyone who receives the export.

Custom Code Blocks

The Service allows you to write and include custom HTML, CSS, and JavaScript within code blocks in your courses. You are solely responsible for the content and behavior of any custom code you create. Slate does not review, validate, or sandbox custom code blocks. We are not liable for any issues, security vulnerabilities, or unintended behavior caused by custom code in your courses or exports.

Public Previews

You may create shareable preview links for your courses. Public previews are non-tracked links that allow anyone with the link to view your course content without authentication. No analytics are collected and no viewer information is recorded for public previews. You are responsible for managing who you share preview links with and understanding that public preview content is accessible to anyone with the link. For tracked sharing with viewer analytics, see Section 14.

6. Acceptable Use

Permitted Purpose

Slate is designed for creating educational and professional training content, including courses for education, training, onboarding, compliance, professional development, and similar legitimate purposes. While we do not restrict the topics your courses may cover, all content must comply with the content policies below.

Prohibited Content

You must not create, upload, or distribute content through the Service that includes or promotes:

  • Sexually explicit, pornographic, or adult material
  • Content depicting, promoting, or glorifying violence, gore, or self-harm
  • Hateful content targeting individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or other protected characteristics
  • Content promoting illegal activities, including drug manufacturing or trafficking, terrorism, weapons, or human trafficking
  • Harassment, bullying, intimidation, or threats against any individual
  • Content designed to deceive, defraud, or mislead, including phishing, scams, or fraudulent schemes
  • Malware, spyware, or other harmful or malicious code
  • Content that exploits or endangers minors in any way
  • Unauthorized personal information of others, including private contact details, financial information, or identity documents
  • Content that infringes the intellectual property rights of others
  • Spam, unsolicited promotions, or pyramid and multi-level marketing schemes
  • Disinformation or deliberately misleading content presented as factual educational material

Branded Content and Reputation

Courses created on the free tier display Slate branding. You must not use Slate-branded courses to create, host, or distribute content that could damage Slate's reputation, mislead others into believing Slate endorses your content, or associate Slate with prohibited or objectionable material. This applies to all courses shared via Slate preview links, tracked links, or exported with Slate branding.

Prohibited Activities

You also agree not to:

  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems
  • Interfere with or disrupt the Service, servers, or networks
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any purpose not expressly permitted by these Terms

7. Content Moderation and Enforcement

Right to Review

Slate reserves the right, but not the obligation, to review, monitor, or investigate content created or shared using the Service. We may determine whether content violates these Terms at our sole discretion.

Enforcement Actions

If we determine that content or conduct violates these Terms, we may at our sole discretion take one or more of the following actions:

  • Remove or disable access to the offending content
  • Issue a warning to your account
  • Temporarily suspend your account and access to the Service
  • Permanently terminate your account
  • Report the content or activity to law enforcement authorities where required or appropriate

We may take these actions without prior notice where we believe there is an immediate risk of harm, illegal activity, or serious violation of these Terms.

Reporting Violations

If you become aware of content on the Service that you believe violates these Terms, you may report it to [email protected].

No Obligation to Monitor

While we reserve the right to review content, we are not obligated to monitor all user content and are not responsible for content created by users of the Service.

8. Intellectual Property

The Service, including its original content, features, and functionality (excluding user-generated content), is owned by Slate and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Export Formats and LMS Compatibility

The Service exports courses in multiple formats, including SCORM 1.2, SCORM 2004, xAPI, cmi5, and standalone web packages. SCORM output has been validated using SCORM Cloud. While these formats are widely supported, we cannot guarantee compatibility with every Learning Management System (LMS). It is your responsibility to verify compatibility with your specific LMS.

10. AI-Powered Features

Description

The Service includes AI-powered features available across all subscription tiers, subject to credit limits that vary by plan. When you use AI features, relevant content is sent to third-party AI providers for processing.

AI Features

AI-powered features in the Service include:

  • Course generation from descriptions or outlines
  • Individual lesson generation
  • Content transformation (rewriting, summarizing, expanding, and adjusting tone)
  • Code block generation (HTML/CSS/JS from natural language descriptions)
  • Image generation
  • Knowledge check generation
  • Content translation into supported languages
  • Review session summaries

Third-Party AI Providers

AI features are powered by Google Gemini. When you use AI features, only the content relevant to the specific operation is sent to the provider. Account information, payment details, and other personal data are not transmitted. Use of AI features is subject to Google Gemini API Terms of Service.

AI-Generated Content Accuracy

AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, verifying, and editing all AI-generated content before publishing or distributing it. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. AI-generated content is subject to the same ownership and responsibility terms as other content you create (see Section 5).

Translation

The translation feature sends your course text to Google Gemini for translation into supported languages. Only translatable text content is sent. You are responsible for reviewing translated content for accuracy before publishing. Translation is not available for code blocks, dividers, or media transcripts (SRT/VTT files, which are uploaded per-language by the author).

Credit Consumption

Different AI operations consume different amounts of credits. Credit costs for each operation are listed on our pricing page. AI features are unavailable when your credits are exhausted. Additional credit packs may be purchased separately.

11. MCP (Model Context Protocol) Integration (Standard and Pro)

Description

Slate provides a Model Context Protocol (MCP) server that allows compatible AI assistants to interact with your Slate account. MCP is available on Standard and Pro plans and requires your explicit authorization via OAuth 2.1.

Permitted Use

You may use MCP to create courses, manage reviews, retrieve analytics, and perform other actions available through the Slate MCP tools. All MCP actions are subject to the same usage policies, rate limits, and credit costs as actions performed directly in the Slate application.

Data Access Limitations

MCP tools provide access to your course metadata, aggregate analytics, review feedback, and account settings. MCP tools do not expose personally identifiable information (PII) of your course viewers or reviewers. Analytics data returned through MCP is always aggregated and does not include individual viewer identities, email addresses, or IP addresses.

Third-Party AI Providers

When you connect a third-party AI assistant via MCP, data retrieved from your Slate account is transmitted to that AI provider for processing. You are responsible for reviewing and accepting the AI provider's terms of service and privacy policy. Slate is not responsible for how third-party AI providers handle data received through MCP.

AI-Generated Content

Courses and content created through MCP are subject to the same ownership and responsibility terms as content created directly in Slate (see Section 5). You are responsible for reviewing and verifying all AI-generated content before publishing or distributing it.

Rate Limits and Credits

MCP usage is subject to per-user rate limits to ensure fair access and system stability. Course generation through MCP consumes AI credits at the same rate as generation through the Slate application. We reserve the right to adjust rate limits at any time.

12. Third-Party Voice Generation

Description

All subscribers can generate course narration using Google Cloud Text-to-Speech. Pro subscribers also have access to ElevenLabs premium voices. When you use this feature, the text content of the block being narrated is transmitted to the selected voice provider for audio generation.

Content Transmission

Only the text of the specific block being narrated is sent to the voice provider. No other course content, account information, or personal data is transmitted. The generated audio is stored in your Slate account and is subject to the same ownership and security terms as other content you create (see Section 5).

Third-Party Terms

Voice generation is subject to the voice provider's terms of service and usage policies. You are responsible for ensuring your use of generated audio complies with both these Terms and the provider's terms. See Google Cloud Terms of Service and ElevenLabs Terms of Use.

Credit Consumption

Voice generation consumes AI credits at rates specified on the pricing page. Premium voice providers may consume credits at a higher rate than standard voices.

13. Canva App Integration

Description

Slate offers a Canva marketplace app that converts Canva presentations into interactive Slate courses. The app runs within Canva's design editor and requires you to authorize a connection between your Canva account and your Slate account via OAuth.

Content Processing

When you convert a presentation, the app extracts text content from your Canva design (images are not extracted). The extracted text and conversion parameters are sent to Google Gemini for AI-powered course generation. The resulting course is saved to your Slate account.

Credit Consumption

Course generation through the Canva app consumes AI credits at the same rate as in-app course generation. Connecting your Canva account may provide bonus credits as described on our pricing page.

Third-Party Terms

Use of the Canva app is subject to Canva's Terms of Use in addition to these Terms. For information about how data is handled during the Canva integration, see our Privacy Policy.

14. Share and Track

Description

The Service includes tracked sharing links that allow you to distribute courses while collecting aggregate viewer analytics. Unlike public previews (see Section 5), tracked links record viewer engagement data.

Viewer Data Collection

Tracked links may optionally request viewers to provide their name and email address before accessing the course. You may also configure an optional email consent checkbox. Viewers are informed about data collection at the point of access.

Analytics Data

Tracked links collect lesson completion progress, assessment results, and access timestamps. This analytics data is accessible only to the course creator and is not used by Slate for any other purpose.

Password Protection

You may optionally set a password on tracked links. Passwords are stored as one-way hashes and cannot be retrieved. You are responsible for distributing passwords to intended recipients.

Link Expiration and Deactivation

You may set optional expiration dates on tracked links and deactivate links at any time. Analytics data is retained until you delete the tracked link.

15. Peer Review

Description

The Service includes a peer review feature that allows you to share courses for structured feedback. You create review sessions and distribute invite links to reviewers.

Reviewer Access

You control reviewer access via invite links, which are scoped to a specific review session. You may configure whether reviewers can create issues, leave comments, or both. You may close review sessions at any time to revoke access.

Review Data

Issues, comments, and AI-generated review summaries are associated with your account. Reviewer names are visible to the course creator. AI-generated review summaries consume AI credits.

16. Slate for Rise Chrome Extension

Slate for Rise is a free Chrome extension that applies custom CSS and JavaScript to Articulate Rise courses. The extension runs entirely in your browser. No Slate account is required, and no data is sent to Slate servers.

Use of the extension is subject to the Chrome Web Store Terms of Service in addition to these Terms. For information about how the extension handles data, see our Slate for Rise Privacy Policy.

17. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service interruptions.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
  • ANY CONTENT CREATED OR SHARED USING THE SERVICE
  • ANY ERRORS OR OMISSIONS IN THE SERVICE

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

20. Indemnification

You agree to indemnify, defend, and hold harmless Slate and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

21. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

We recommend exporting your content before canceling your subscription. Your data will be retained for 30 days following account termination to allow for account recovery, after which it will be permanently deleted.

22. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
